1. Introduction and Agreement

These Terms of Service ("Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Triovex Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in Kolkata, West Bengal, India ("Company," "we," "us," or "our").

By accessing or using our website, applications (including "Mind Sphire"), APIs, or any other services (collectively, the "Services"), you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, strictly do not use our Services. This electronic record is generated by a computer system and does not require any physical or digital signatures, in accordance with the Information Technology Act, 2000.

2. Eligibility

Access to our Services is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors, un-discharged insolvents, etc., are not eligible to use the Services. If you are accessing our Services on behalf of a corporate entity, you represent that you have the authority to bind such entity to this Agreement.

3. User Accounts and Security

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

Triovex shall not be liable for any loss or damage arising from your failure to comply with this security obligation. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable law, regulation, or court order in India or your jurisdiction.
• Infringe upon the intellectual property rights of Triovex or any third party.
• Transmit any material that contains viruses, trojan horses, worms, or any other harmful or deleterious programs.
• Attempt to gain unauthorized access to our servers, computer systems, or networks.
• Engage in any activity that interferes with or disrupts the integrity or performance of the Services ("DDoS" attacks, etc.).
• Use our AI models to generate illegal, hate speech, or sexually explicit content prohibited under Indian law (including IT Rules which prohibit content harmful to children).

5. Intellectual Property Rights

Triovex Ownership: All rights, title, and interest in and to the Services, including our software, AI models, algorithms, source code, designs, logos (including "Mind Sphire"), and content, are and will remain the exclusive property of Triovex Technologies Private Limited.

License to User: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for your personal or internal business purposes.

6. Payment and Subscription

Certain aspects of the Services may be provided for a fee. You agree to pay all applicable fees as described on our website. We reserve the right to change our prices at any time. All payments shall be in INR (Indian Rupees) or USD (as applicable) and are inclusive of GST unless stated otherwise. Refunds are governed by our Refund Policy, which permits refunds only in case of proven technical failure on our part.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, TRIOVEX TECHNOLOGIES PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) ₹1,000 (ONE THOUSAND INDIAN RUPEES); OR (B) THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS FOR THE SERVICES PRODUCED THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless Triovex, its directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

9. Governing Law and Dispute Resolution

Jurisdiction: This Agreement shall be governed by the laws of India. The courts in Kolkata, West Bengal shall have exclusive jurisdiction over any disputes arising out of obtaining or using our Services.

Arbitration: Any dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Kolkata. The language of arbitration shall be English.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting an update on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
